1. General
1.1 By purchasing, subscribing to, enrolling in, or otherwise receiving access to the Smart Money Indicator(SMI) in any form, including but not limited to software access, indicator access, dashboards, data, research, webinars, recordings, support, online materials, communities, or any related training or support services, the Client confirms acceptance of these Terms and Conditions.
1.2 If the Client does not agree to be bound by these Terms and Conditions, the Client must not proceed with the purchase or use of the Smart Money Indicator.
1.3 All information, training, education, commentary, examples, charts, market analysis, software outputs, research, and materials provided by Master The Markets Ltd in connection with the Smart Money Indicator are for educational purposes only.
1.4 Neither Master The Markets Ltd, nor its directors, officers, employees, contractors, representatives, or associates are financial advisers, investment advisers, brokers, or portfolio managers. Nothing in the Smart Money Indicator constitutes regulated financial advice, investment advice, a recommendation, or an invitation to buy, sell, subscribe for, or otherwise deal in any financial instrument.
1.5 The Client is solely responsible for any trading or investment decisions made and for any profit or loss arising from them. The Client should seek advice from an appropriately regulated financial adviser or broker before making investment decisions.
1.6 The Client acknowledges that trading and investing involve substantial risk and that past performance is not indicative of future results. No representation, warranty, or guarantee is given that the Client will achieve any particular outcome, profit, or level of performance.
1.7 We may provide links to third-party websites, software providers, charting platforms, payment platforms, brokers, communities, or services for convenience only. We are not responsible for the content, policies, operation, or availability of such third-party sites or services.
1.8 Master The Markets Ltd is incorporated in England and Wales. Unless otherwise stated in the Client’s order form, invoice, checkout page, or offer confirmation, the Smart Money Indicator is supplied by Master The Markets Ltd.
2. Definitions
For the purposes of these Terms and Conditions:
2.1 "Client" means the person or entity purchasing or accessing the Smart Money Indicator.
2.2 "Contract" means the agreement between Master The Markets Ltd and the Client for the supply of the Smart Money Indicator, incorporating these Terms and Conditions and any signed order form, invoice, checkout page, payment link, or subscription confirmation.
2.3 "Digital Content" means the Smart Money Indicator itself, software access, dashboards, templates, recordings, research documents, PDFs, downloads, video libraries, portal materials, data, and any other digital materials supplied other than on a tangible medium.
2.4 "Services" means onboarding, support, webinars, Q&A, community access, updates, implementation support, and any live or delivered service components supplied in connection with the Smart Money Indicator.
2.5 "Subscription Term" means the monthly, quarterly, or yearly subscription period selected by the Client at checkout or otherwise agreed in writing.
2.6 "Subscription Fee" means the applicable recurring fee payable for the selected Subscription Term.
2.7 "Contract Start Date" means the date on which the initial payment is successfully processed and the Contract is formed.
2.8 "Renewal Date" means the date on which the selected Subscription Term renews automatically unless cancelled in accordance with these Terms and Conditions.
3. Price and Payment
3.1 The Client agrees to pay the Subscription Fee in accordance with the selected monthly, quarterly, or yearly subscription plan.
3.2 Unless expressly stated otherwise, all Smart Money Indicator subscriptions renew automatically at the end of each Subscription Term.
3.3 By subscribing, the Client authorises us and/or our payment processor to collect the Subscription Fee automatically using the payment method provided, both for the initial term and each renewal term, until cancellation takes effect.
3.4 The Client is responsible for ensuring that the payment method on file remains valid and capable of accepting recurring charges.
3.5 If any payment is declined, reversed, charged back, or remains unpaid, we may suspend or terminate access to the Smart Money Indicator and any associated Services or Digital Content.
3.6 We may change Subscription Fees on notice to the Client before the next Renewal Date. Any such change will take effect from the next renewal unless the Client cancels before renewal.
3.7 Where the Client has subscribed through a third-party payment platform, app marketplace, or reseller, additional terms of that provider may apply to billing mechanics, but these Terms and Conditions shall continue to govern use of the Smart Money Indicator as between us and the Client.
4. International Payments
4.1 All prices are stated in pounds sterling (GBP) unless expressly stated otherwise.
4.2 The Client is responsible for any currency conversion costs, bank transfer fees, intermediary bank charges, card issuer charges, payment platform charges, withholding amounts, duties, or local taxes arising in connection with payment.
4.3 Payment is deemed received only when cleared funds are credited to our nominated account in full.
4.4 If any payment is reduced by deductions, charges, or withholdings, the Client shall remain responsible for ensuring that the net amount received by us equals the full amount due.
5. Subscription Access, Renewal, and Cancellation
5.1 The Smart Money Indicator is supplied on a subscription basis for the monthly, quarterly, or yearly term selected by the Client.
5.2 Access begins once the initial payment has been successfully received and any onboarding or account setup requirements have been completed.
5.3 Unless the Client cancels before the next Renewal Date, the subscription will renew automatically for a further term of the same length as the original Subscription Term.
5.4 The Client may cancel renewal at any time through the relevant billing portal, by contacting us at [INSERT EMAIL], or by any other cancellation process we make available. Unless otherwise required by law, a minimum of one month’s cancellation notice applies to all subscriptions.
5.5 Where a valid cancellation request is received at least one month before the next Renewal Date, the subscription will remain active until the next Renewal Date and will then terminate automatically, with no further renewal charge due.
5.6 Where a cancellation request is received less than one month before the next Renewal Date, the cancellation will take effect on the following Renewal Date after the next scheduled renewal charge has been processed, and the subscription will remain active until the end of that additional paid Subscription Term.
5.7 By way of example only: if the Client’s next billing date is 10 September 2025 and the Client’s cancellation notice is received on 22 August 2025, the Client will be charged one further monthly subscription payment on 10 September 2025 and the subscription will then remain active until 9 October 2025, after which it will expire automatically.
5.8 Cancellation stops future renewal charges only. Except where the Client validly exercises a statutory cancellation right under clause 10, cancellation does not entitle the Client to a full or partial refund for the current paid Subscription Term.
5.9 If the Client cancels, access to the Smart Money Indicator and any included Digital Content or Services will continue until the end of the applicable paid Subscription Term and then terminate automatically, unless otherwise stated.
5.10 We may suspend, restrict, or terminate access immediately if any payment is overdue, declined, reversed, or disputed.
5.11 The Client acknowledges that access to the Smart Money Indicator may depend on third-party platforms, integrations, data feeds, charting software, or account permissions, and that we are not responsible for outages or limitations caused by those third parties.
6. Programme Delivery and Access
6.1 The Smart Money Indicator may include a combination of Digital Content and Services. The exact components may vary depending on the selected subscription plan, offer, or package.
6.2 We may update, modify, improve, replace, remove, or develop features, dashboards, training materials, support channels, webinars, and associated Digital Content from time to time, provided that the overall substance of the subscription is not materially reduced without cause.
6.3 Access to any part of the Smart Money Indicator may be conditional on the Client remaining up to date with all payments.
6.4 We do not guarantee uninterrupted or error-free access to the Smart Money Indicator and may carry out maintenance, updates, or changes from time to time.
7. Intellectual Property and Licence The Client acknowledges that access to the Smart Money Indicator may depend on third-party platforms, integrations, data feeds, charting software, or account permissions, and that we are not responsible for outages or limitations caused by those third parties.
6. Programme Delivery and Access
6.1 The Smart Money Indicator may include a combination of Digital Content and Services. The exact components may vary depending on the selected subscription plan, offer, or package.
6.2 We may update, modify, improve, replace, remove, or develop features, dashboards, training materials, support channels, webinars, and associated Digital Content from time to time, provided that the overall substance of the subscription is not materially reduced without cause.
6.3 Access to any part of the Smart Money Indicator may be conditional on the Client remaining up to date with all payments.
6.4 We do not guarantee uninterrupted or error-free access to the Smart Money Indicator and may carry out maintenance, updates, or changes from time to time.
7. Intellectual Property and Licence
7.1 All intellectual property rights in the Smart Money Indicator, including all Digital Content, code, logic, signals, data outputs, dashboards, recordings, frameworks, templates, tools, documents, systems, trademarks, logos, branding, research, and training materials, remain the exclusive property of Master The Markets Ltd or its licensors.
7.2 Subject to the Client’s compliance with these Terms and Conditions and payment of all sums due, we grant the Client a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable licence to use the Smart Money Indicator solely for the Client’s own internal educational and personal trading use.
7.3 The Client must not copy, reproduce, share, distribute, publish, licence, sell, assign, upload, transmit, disclose, display, reverse engineer, decompile, scrape, clone, mirror, or otherwise exploit any part of the Smart Money Indicator without our prior written consent.
7.4 The Client must not permit any third party to access the Smart Money Indicator through the Client’s login, account, screenshots, downloads, recordings, or supplied materials.
7.5 Any breach of this clause may result in immediate suspension or termination of access, without refund, in addition to any other legal remedies available to us.
8. Confidentiality
8.1 The Client agrees to keep confidential all non-public information, methodologies, logic, templates, research, systems, signal structures, commercial information, client discussions, and materials disclosed as part of the Smart Money Indicator.
8.2 The Client must not disclose such confidential information to any third party except where required by law.
8.3 This clause does not apply to information that is lawfully in the public domain other than through breach of confidence.
9. Changes, Suspension, and Termination by Us
9.1 We reserve the right to make reasonable changes to the Smart Money Indicator, including its delivery format, content, included training, support arrangements, platform, or feature set.
9.2 We may suspend or terminate the Client’s access immediately if the Client:
(a) fails to make payments when due;
(b) shares or misuses confidential or proprietary materials;
(c) breaches any intellectual property rights;
(d) behaves in a disruptive, abusive, threatening, unlawful, or inappropriate manner in any support, webinar, or community environment; or
(e) initiates an unjustified chargeback or payment reversal.
9.3 Where access is suspended or terminated under this clause due to the Client’s breach, no refund shall be due for the current paid Subscription Term.
10. Cancellation Rights and Refunds
10.1 Consumer Cancellation Right
If the Client is a consumer and enters into this Contract online, by email, by telephone, or otherwise at a distance or off-premises, the Client has the right to cancel this Contract within 14 days without giving any reason, subject to the terms of this clause 10.
10.2 Cancellation Period
The cancellation period expires 14 days after the Contract Start Date.
10.3 How to Cancel
To exercise the right to cancel, the Client must inform us of the decision to cancel by a clear written statement sent by email to [INSERT EMAIL] or by post to [INSERT ADDRESS] before the cancellation period expires.
10.4 Services Started During the Cancellation Period
If the Client expressly requests that any Services begin during the cancellation period, and the Client later cancels within that period, the Client shall pay us an amount proportionate to the Services supplied up to the date on which cancellation is communicated, compared against the full value of the initial Subscription Term.
10.5 Digital Content Supplied During the Cancellation Period
If the Client expressly consents to immediate access to the Smart Money Indicator and any related Digital Content during the cancellation period, and acknowledges that the statutory right to cancel that Digital Content is lost once supply begins, then the Client’s right to cancel in respect of that Digital Content ends when access is first provided.
10.6 No Access / No Supply
If no Services have been supplied and no Digital Content has been accessed during the cancellation period, we will refund all sums paid within 14 days of receiving the cancellation notice, using the same payment method unless otherwise agreed.
10.7 After the Cancellation Period
After the expiry of the cancellation period, all payments for the current Subscription Term are non-refundable except where we are required by law to provide a refund or where we agree otherwise in writing at our sole discretion.
10.8 Cancellation of Renewal
For clarity, where the Client cancels renewal after the initial 14-day cancellation period, the cancellation will prevent future renewals only and will not create a right to a refund for the current paid Subscription Term.
10.9 Business Clients
If the Client is purchasing the Smart Money Indicator wholly or mainly for purposes of a trade, business, craft, or profession, no statutory consumer cancellation rights apply unless we expressly agree otherwise in writing.
11. Chargebacks and Payment Reversals
11.1 The Client agrees not to initiate any unjustified chargeback, payment reversal, or payment dispute.
11.2 If the Client initiates an unjustified chargeback or reversal, we may immediately suspend access to the Smart Money Indicator and pursue recovery of the sums due, together with any reasonable administrative or recovery costs.
12. Liability
12.1 Nothing in these Terms and Conditions excludes or limits liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot lawfully be excluded or limited.
12.2 Subject to clause 12.1, we shall not be liable for any indirect, consequential, special, or incidental loss, including any loss of profits, business, anticipated savings, trading losses, or opportunity.
12.3 Subject to clause 12.1, our total aggregate liability arising out of or in connection with the Smart Money Indicator shall not exceed the amount actually paid by the Client to us during the 12 months preceding the event giving rise to the claim.
12.4 We shall not be liable for any failure or delay caused by events outside our reasonable control, including acts of God, war, terrorism, industrial disputes, pandemics, government restrictions, platform outages, internet failures, payment provider failures, third-party software failures, data feed interruptions, or service outages.
13. Warranties and Acknowledgements
13.1 The Client acknowledges that success in trading or implementation depends on many factors outside our control, including the Client’s own effort, judgement, capital, psychology, discipline, and market conditions.
13.2 No statement by us shall amount to a guarantee of results.
13.3 This Contract constitutes the entire agreement between the parties in relation to the Smart Money Indicator and supersedes any prior oral or written discussions, correspondence, or understandings.
14. Notices
14.1 Any notice under this Contract must be given in writing by email or by post to the contact details most recently notified by the receiving party.
14.2 Notices sent by email shall be deemed received at the time of transmission, provided no delivery failure notice is received.
15. Severance and Waiver
15.1 If any provision of these Terms and Conditions is found to be unlawful, invalid, or unenforceable, that provision shall be severed and the remaining provisions shall remain in full force and effect.
15.2 No failure or delay by either party to exercise any right or remedy shall constitute a waiver of that or any other right or remedy.
16. Governing Law and Jurisdiction
16.1 This Contract and any dispute or claim arising out of or in connection with it shall be governed by the laws of England and Wales.
16.2 If the Client is a consumer residing outside England and Wales, the Client may also benefit from any mandatory provisions of the law of the country in which the Client resides.
16.3 Subject to clause 16.2, the courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with this Contract.
